Terms and Conditions for Collaboration between VitalVet and Veterinary Clinics

1. Introduction

This Agreement is entered into between VitalVet (hereinafter referred to as “VitalVet”), a pet care application providing AI-powered diagnostics and referral services, and [Name of Veterinary Clinic] (hereinafter referred to as “Clinic”), a licensed veterinary service provider. The purpose of this Agreement is to establish a collaborative framework for referring VitalVet users to the Clinic and providing discounted services to enhance pet care accessibility.

2. Services Provided by VitalVet

VitalVet shall provide the following services to the Clinic:

• Referral of VitalVet users to the Clinic for veterinary services.
• Online appointment booking and customer relationship management tools.
• Marketing and promotion of the Clinic’s services through the VitalVet platform.

3. Discount and Commission Structure

• Standard Discount: The Clinic agrees to provide a 20% discount on all standard veterinary services provided to VitalVet-referred users. Of this discount, 10% shall be passed on to the user, and 10% shall be retained by VitalVet as a commission.
• Specialized Services Discount: For specialized services, including specialized surgeries, advanced diagnostic imaging (e.g., MRI, CT scans), and cancer-related treatments, the Clinic agrees to provide a 27.5% discount. Of this, 15% shall be passed on to the user, and 12.5% shall be retained by VitalVet as a commission.

Note: Discounts must be clearly reflected in invoices issued to users, and VitalVet’s commission shall be transparently documented.

4. Payment Terms

• The Clinic shall issue invoices to users reflecting the applicable discount (10% for standard services, 15% for specialized services).
• VitalVet’s commission (10% for standard services, 12.5% for specialized services) shall be settled monthly, no later than 15 days after the end of each month, via bank transfer to VitalVet’s designated account.
• Both parties shall maintain transparent financial records, with reports shared monthly for reconciliation.

Notification of Changes:
Both parties agree to notify the other in writing within 7 business days of any changes to their postal address, phone number, or email address. Failure to notify may result in delays or miscommunication, for which the non-notifying party shall be responsible.

6. Responsibilities

• VitalVet: Responsible for accurate user referrals, providing reliable booking tools, and marketing the Clinic’s services through the app.
• Clinic: Responsible for delivering high-quality veterinary services, adhering to professional standards, and applying the agreed discounts.

7. Data Privacy and Confidentiality

Both parties agree to comply with applicable data protection laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) of Canada.

User data shared between VitalVet and the Clinic shall be used solely for referral, booking, and service provision purposes and shall not be disclosed to third parties without written consent.

8. Termination of Agreement

Either party may terminate this Agreement with 30 days’ written notice.
All outstanding payments, including commissions, shall be settled within 30 days of termination.

9. Liability

• VitalVet shall not be liable for any medical or professional errors by the Clinic.
• The Clinic shall not be liable for any technical issues related to the VitalVet platform.
• Neither party shall be liable for indirect or consequential damages arising from this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada. Any disputes shall be resolved in the courts of Canada.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.

12. Signatures
